Business Partner Terms and Conditions

1. Eligibility and Application Process

To participate as a Business Partner, you must:

• Be a registered and legally operating business entity in Canada
• Have the authority to legally bind the business entity to these Terms
• Submit an application providing accurate business details, including name, location, contact information, and proposed discount offer(s)

Submission of an application does not guarantee acceptance. We review all applications and reserve the right to approve, reject, or request modifications to any application or proposed offer at our sole discretion, without providing grounds for refusal.

Upon approval, you will be granted access to create or manage a Partner account on the Platform.

2. Partner Obligations and Responsibilities

As an approved Partner, you agree to:

• Provide accurate and current information regarding your business and your offers
• Honor all published discounts and offers for valid Mylo Campus users who present their digital student ID via the App
• Ensure that your offers comply with all applicable local, provincial, and federal laws and regulations
• Maintain a safe and professional environment for student users at your physical locations
• Not engage in any deceptive, misleading, or fraudulent practices associated with your offers
• Promptly notify us of any significant changes to your business, such as closure, change of ownership, or inability to honor listed offers

We ask reasonable notice for any changes or removals of active offers. This allows us to update the Platform and inform users to avoid negative customer experiences at your point of sale.

3. Platform Functionality and User Disputes

The Mylo Campus Platform currently functions as an advertising and discovery directory for student discounts. We facilitate the connection between verified students and local businesses.

You acknowledge and agree that:

• All transactions, purchases, and fulfillment of goods or services take place directly between you and the user
• Mylo Campus is not a party to any transaction and does not process payments or handle fulfillment (unless otherwise agreed in a separate agreement)
• You are solely responsible for resolving any disputes, complaints, refunds, or issues raised by users regarding your goods, services, or honorment of offers
• Mylo Campus will not intervene in direct disputes between Partners and users

4. Analytics and Deal Performance Data

Mylo Campus provides Partners and participating campus student councils with access to platform dashboards, offer performance statistics, saved coupons, redemption volumes, and aggregated engagement insights. Dashboard analytics are de-identified and aggregated by default.

A participating student council may receive limited identifiable student information only for students at schools linked to the council's organization, where the council has documented authority for the student program and has entered into a separate written data-sharing agreement with Mylo Campus. Where required, Mylo Campus will obtain additional student consent. Any such agreement will limit the information, purpose, permitted users, retention period, security safeguards, and deletion requirements.

You may use analytics and any authorized identifiable information solely for the documented purpose, offer performance, program administration, business operations, and customer service. You must not sell, disclose, rent, scrape, profile, re-identify, extract, or otherwise use student information for marketing or any purpose outside the applicable student notice, consent, and data-sharing agreement. You must promptly report any suspected unauthorized access, use, or disclosure to Mylo Campus.

5. Content and Intellectual Property

Partner Content

You retain ownership of any logos, images, descriptions, or trademarks ("Partner Content") you provide to us. By submitting Partner Content, you grant Mylo Campus a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute your Partner Content on the Platform, our website, and our marketing materials solely for the purpose of promoting your business and the Mylo Campus service.

The Mylo Campus name, logos, platform design, and software remain our exclusive intellectual property. You may not use our intellectual property without our prior written consent, except to indicate that you offer a student discount to Mylo Campus users.

6. Fees and Payments

Listing your business and basic offers on the Mylo Campus directory is currently provided free of charge.

We may introduce premium features, targeted advertising options, or payment processing capabilities in the future. Any associated fees will be clearly communicated and will require your explicit opt-in and agreement to supplementary terms before any charges are incurred.

7. Disclaimer of Warranties

The Platform is provided to Partners "as is" and "as available". We make no representations or warranties regarding the volume of traffic, number of redemptions, increased revenue, or specific benefits you will receive by participating in the Mylo Campus program.

We do not warrant that the Platform will be uninterrupted, error-free, or entirely secure, though we strive to maintain high operational standards.

8. Limitation of Liability and Indemnification

To the maximum extent permitted by applicable law, Mylo Campus and its directors, employees, and agents shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits or revenue, arising from your participation on the Platform.

You agree to indemnify, defend, and hold harmless Mylo Campus from any and all claims, liabilities, damages, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your goods, services, or failure to honor an offer
• Any dispute between you and a user
• Your infringement of any third-party intellectual property or privacy rights

9. Suspension and Termination

You may terminate your participation as a Business Partner at any time by contacting us at school@mylocampus.ca. Please allow up to five (5) business days for the removal of your listings from the active directory.

We reserve the right to suspend or terminate your account and remove your offers from the Platform at any time, with or without cause, including but not limited to:

• Violation of these Terms
• Consistent failure to honor published discounts
• A high volume of negative user feedback
• Suspected fraudulent activity or misrepresentation

In the event of suspension or termination, you remain obligated to fulfill any outstanding commitments to users made prior to the termination date, where applicable.

10. Changes to these Terms

We reserve the right to update or modify these Terms at any time. We will notify active Business Partners of material changes via email or notice within the Platform. Your continued participation as a Partner after such notification constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must remove your business from the Platform.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to provisions of conflict of law. Any disputes shall be resolved in the courts of Ontario.
